Practice Areas
Business law, practiced at depth.
Thirty-one practices spanning everything a company does — and everything that can be done to it. Each page states when you need it, how the work runs, and the law behind it.
For The Business (29)
- Corporate LawWe form, structure and maintain companies under the Companies Act 2017 — incorporation, board and shareholder decisions, SECP filings, and the corporate approvals that sit behind every contract and every deal. We act for founders, CFOs and boards who want the company's paper to match its reality.
- Commercial LawWe draft, negotiate and enforce the contracts a trading business runs on — supply, distribution, services, licensing and terms of trade — under the Contract Act 1872 and the statutes that sit around it. We act for businesses that want agreements written for the day they are tested, not the day they are signed.
- Startup LawWe take startups from incorporation through fundraising — founder arrangements, ESOPs, SAFEs and convertibles, priced rounds, and the SECP and State Bank mechanics that make foreign money work in a Pakistani company. We act for founders and for the investors who back them.
- Employment LawWe advise employers on hiring, contracts, discipline, termination and the statutory contributions that come with a payroll, under Pakistan's federal and provincial labour regimes. We act for founders, HR teams and CFOs who want a workforce that is documented, compliant and terminable lawfully when it has to be.
- HR AdvisoryWe act as outside employment counsel to HR teams, founders and CFOs — building the contracts, policies and processes that keep a Pakistani workforce compliant before anything goes wrong. Our employment litigators handle the disputes; this practice exists so that fewer of them ever start.
- Corporate GovernanceWe design and repair the governance of Pakistani companies — boards, committees, related-party controls and the compliance calendar under the Companies Act 2017 and the SECP's codes. The aim is a company whose paper record matches how it is actually run, because sooner or later a regulator, an investor or a court will compare the two.
- Technology LawWe advise software companies, platforms, fintechs and the businesses that buy from them on the laws that govern technology in Pakistan — electronic contracting, content and cybercrime regulation, payments licensing and data. The regulatory map was redrawn in 2025, and we practise on the current one.
- Artificial IntelligencePakistan has no AI-specific statute as of mid-2026, but businesses deploying AI here are not in a legal vacuum — contract, cybercrime, consumer, IP and confidentiality law all reach it now. We map existing Pakistani law onto AI systems so clients can build, buy and use them with their exposure understood.
- Data PrivacyWe advise companies that collect, hold and move personal data on the rules that govern it in Pakistan today and the statute expected to govern it next. The work runs from privacy programmes and consent architecture to cross-border transfers, vendor contracts and the sectoral regulators that already police data.
- CybersecurityWe advise businesses on the legal side of security: the obligations before an incident, the decisions during one, and the regulatory and criminal proceedings after. Clients range from banks and payment companies under SBP rules to enterprises whose only cyber law is the contracts they have signed.
- Commercial ContractsWe draft, negotiate and repair the contracts a business runs on: master services agreements, NDAs, SaaS terms, licences, vendor and procurement contracts, and distribution arrangements. The work is done under Pakistani law as it actually operates — the Contract Act 1872, provincial stamping, and courts and arbitrators as they really behave.
- Fundraising & InvestmentWe act for founders raising money and for the angels, funds and corporates providing it — term sheets, SAFEs, convertible notes, priced rounds and private equity investments. The distinctive work is making instruments designed for Delaware perform correctly inside Pakistani company law and the State Bank's foreign exchange regime.
- SECP AdvisoryWe manage a company's whole relationship with the Securities and Exchange Commission of Pakistan — incorporation, filings, approvals, licences, inspections, and penalty proceedings. Clients range from first-time founders to groups running dozens of entities on the register.
- Joint VenturesWe structure, document, and unwind joint ventures in Pakistan — incorporated JV companies, contractual collaborations, and consortiums. Clients are manufacturers, developers, landowners, and foreign entrants who need a partnership that survives success as well as failure.
- Due DiligenceWe run legal due diligence on Pakistani companies and assets — for buyers, investors, lenders, and sellers preparing to face all three. The product is a red-flag report a decision-maker can act on, not a document inventory.
- ComplianceWe build and run compliance programs for Pakistani businesses — mapping which laws and regulators actually apply, closing the gaps, and answering the regulator's letter when it comes. Clients range from ten-person startups to licensed entities under SECP, SBP, PTA, and DRAP supervision.
- Corporate SecretarialWe keep companies compliant with the Companies Act, 2017 — statutory registers, board and shareholder process, SECP filings, and the corporate record that diligence teams later read. Built for SMEs and groups that need the housekeeping done properly without hiring for it.
- Risk AdvisoryWe map the legal and regulatory risks a business is actually carrying — contractual, corporate, compliance, and enforcement — and turn the map into a ranked, costed work plan. For boards, CFOs, and investors who want to know what can hurt them before it does.
- Real Estate TransactionsWe run property transactions end to end — title verification, transaction documents, stamping, registration, and mutation — under the statutes that actually govern land in Pakistan. For businesses buying, selling, or leasing commercial property, and investors who want the title question answered before the money moves.
- Construction ContractsWe draft, negotiate, and administer construction and engineering contracts — employer-side and contractor-side — including FIDIC-based forms as used in the Pakistani market, and the arbitration clauses that decide where disputes end up. For developers, contractors, and businesses building anything they cannot afford to see stall.
- FranchisingWe structure, document and defend franchise networks in Pakistan — for brand owners expanding through franchisees, and for franchisees signing up to someone else's system. Pakistan has no franchise statute, so the agreement carries the entire relationship, and we build it to carry that weight.
- LicensingWe draft, negotiate and manage licences of software, brands, content, patents and know-how — for licensors protecting an asset and for licensees who need to rely on one. Cross-border royalties, tax and recordal are handled inside the licence, not discovered after it.
- IP ProtectionWe build and defend intellectual property positions for Pakistani businesses — trademarks, copyright, patents, designs and the trade secrets no register will hold. Registration, contracts and enforcement run as one exercise, because a right you cannot enforce is a certificate, not an asset.
- TrademarkWe clear, file, prosecute and enforce trademarks before the Trade Marks Registry and the courts — for Pakistani brands and for international owners entering Pakistan. The work runs from the first availability search through examination, opposition, registration, renewal and infringement action.
- CopyrightWe advise software companies, creative businesses, publishers, and brand owners on owning, registering, licensing, and enforcing copyright in Pakistan. Most of the work is preventive: making sure the business actually owns the code, content, and designs it is built on.
- Tax AdvisoryWe advise companies, groups, and owner-managers on Pakistani federal and provincial tax: structuring, compliance posture, FBR audits, and appeals up to references before the High Court. The aim is a defensible position taken early, not a heroic argument made late.
- Foreign InvestmentWe act for foreign companies, funds, and diaspora investors entering Pakistan: entity setup, exchange-control and repatriation mechanics, regulatory approvals, and the incentive regimes. The test we plan for is not whether money can come in — it is whether returns can lawfully go out.
- Business RestructuringWe plan and execute corporate reorganizations for Pakistani groups, family businesses, and inbound owners: mergers, schemes of arrangement, intra-group transfers, demergers, and workouts. Every step is tested against three files at once — corporate, tax, and stamp.
- Mergers & AcquisitionsWe structure, negotiate, and close acquisitions, mergers, and disposals for buyers, sellers, and founders in Pakistan — share deals, asset deals, and court-sanctioned schemes. This is deal work for people who have to live with the deal afterwards.
Disputes & Defense — In Support
When matters harden, the same firm carries them.
Commercial Disputes
- Dispute ResolutionWe prosecute, defend, and settle commercial disputes for businesses — contract claims, injunctions, shareholder fights, recovery, and the enforcement of judgments and awards. Disputes work here supports the firm's business practices: it exists to protect the company, its cash, and its deals.
- ArbitrationWe draft arbitration clauses, run domestic and international references, and enforce or resist awards in the Pakistani courts. The work runs from the seat-selection decision at contract stage to the execution of the award as a decree.
Defense & Specialist Practices
- White-Collar Crime & InvestigationsWe defend companies, directors, and public figures in Pakistan's most serious financial-crime matters — from the first knock of an investigation to the final court of appeal. The earlier we are called, the more we can do.
- NAB & Anti-Corruption DefenseWe defend holders of public office, business owners, and their companies at every stage of a National Accountability Bureau proceeding — call-up notice, inquiry, investigation, reference, and trial. We also take the case upward, to the High Courts and the Supreme Court, where NAB matters are most often finally decided.
- Banking & FinanceWe act for banks, development finance institutions, and borrowers on facilities, security packages, and restructurings, conventional and Islamic. We document credit the way it is later tested — in a Banking Court, with the file open and every signature examined.
- FIA & Cybercrime MattersWe act for companies, executives, journalists, and private individuals in Federal Investigation Agency inquiries and prosecutions — cybercrime under PECA 2016, banking and corporate offences, and money-laundering cases. We handle the notice, the bail, the trial, and the quashment, in that order of urgency.
- Capital MarketsWe advise issuers, sponsors, underwriters, and advisers on equity and debt offerings, listings on the Pakistan Stock Exchange, and the obligations that follow. We treat every line of a prospectus as a statement someone may later have to defend before the SECP or a court.
- Commercial LitigationWe prosecute and defend commercial claims — contract, shareholder, banking, and recovery disputes — for companies, lenders, and their owners, from the civil courts to the Supreme Court of Pakistan. We fight the disputes our corporate practice teaches us to see coming.
- Projects, Energy & InfrastructureWe act for sponsors, lenders, contractors, and offtakers on power, infrastructure, and natural-resources projects across Pakistan. A concession runs for decades, and we draft it for the disputes those decades will bring.
- Constitutional & Writ PracticeWe bring writ petitions under Article 199 of the Constitution against arrests, freezing orders, tax demands, exit-control placements, and regulatory directions issued without lawful authority. For a client under investigation, the writ is often the first line of defense, and we treat it as part of the defense rather than a detour from it.
- Banking OffencesWe defend borrowers, guarantors, directors, and bank officers in criminal proceedings arising out of lending — before the FIA, the Banking Courts, the Special Court (Offences in Banks), and the courts above them. We also handle the civil recovery suit that almost always runs alongside, because in banking matters the two files are one case.
- Competition & AntitrustWe handle merger clearance, cartel investigations, abuse-of-dominance proceedings and deceptive-marketing inquiries under the Competition Act 2010, before the Competition Commission of Pakistan and on appeal. We act for acquirers, respondents and complainants, from the first notice to the last court.
- Regulatory Enforcement (SECP · SBP · FBR)We act for companies, financial institutions, and their officers in enforcement proceedings brought by the SECP, the State Bank of Pakistan, and the FBR — from the first show-cause notice to the last appeal. The work is procedural at its core: answer on time, answer on the record, and answer with the eventual challenge already in view.
- Criminal Trials & AppealsWe defend accused persons at trial in Pakistan's accountability, special, and sessions courts, and we argue their appeals in the High Courts and the Supreme Court. The counsel who builds the trial record carries it up, because an appeal is only as good as the record made below.
- Extradition & Interpol Red NoticesWe defend persons in Pakistan against surrender under the Extradition Act 1972, and persons abroad against red notices and warrants issued at Pakistan's request. The work runs from the enquiry magistrate to the Ministry of Interior, and from the High Courts to the Commission for the Control of INTERPOL's Files in Lyon.
